1. Your agreement with Metrosion

These Terms of Service ("Terms") govern your access to the PonderFi website, applications and related services (the "Service") provided by Metrosion Inc., a Delaware corporation ("Metrosion," "we," "us" or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle information. Additional terms shown for a particular feature or purchase apply to that feature or purchase. Mandatory consumer rights under applicable law are preserved.

2. Eligibility and account access

You must be at least 13 and legally able to enter this agreement in your location, or have authorization from a parent or guardian where legally permitted and required. If you are a parent or guardian authorizing use, you are responsible for supervising that use to the extent permitted by law.

Provide accurate registration information and protect your email account, devices and verification codes. Do not share a user login; use the built-in sharing features to share a selected financial account. You are responsible for activity you authorize and should promptly report suspected unauthorized access to support@ponderfi.com.

Guest sessions may not be recoverable after sign-out, device changes or loss of local session information. Establish a supported sign-in method before relying on records you need to retain.

3. What the Service does

PonderFi provides tools for recording income and expenses, organizing accounts and receipt attachments, tracking budgets and debts, and viewing analytics. Calculations reflect the records entered into the Service; they may be incomplete, delayed or inaccurate. Check important figures against original statements and records.

PonderFi is not a bank, broker, lender, payment processor, collection agency or financial, investment, tax or legal adviser. It does not hold deposits, provide deposit insurance, lend money, initiate bank transfers or make repayments for you. An account transfer recorded in PonderFi is a bookkeeping record, not an instruction to move funds.

Content on the site and in the app is general information, not a recommendation tailored to your circumstances. Seek qualified advice when needed.

4. Shared financial accounts

You may share selected financial records through supported account-sharing features. Anyone with an enabled share link may be able to join the relevant account. Share links only with people you trust and use the member-management controls to review access.

Members may view the shared account and contribute supported activity. The owner controls supported membership and account settings. You are responsible for deciding what to share and for having the right to share information about others. Do not assume that a shared record is private from other members.

Removing a member or disabling future sharing does not recall information already viewed, copied or delivered. Sharing a record does not establish joint ownership of funds, a legal debt, authority over a bank account, or an agreement between members. We are not a party to financial arrangements or disputes between users.

5. Your records and our intellectual property

You retain the rights you hold in your records and uploads. You grant Metrosion a limited, non-exclusive license to host, store, reproduce, process, transmit and display that content as needed to provide, protect and maintain the Service, including displaying it to users you authorize through sharing features. Service providers may exercise this license only as needed to support those purposes. Retention after removal is addressed in the Privacy Policy and applicable law.

You must have the rights and permissions needed for content you submit. Do not upload unlawful, infringing or malicious content or unnecessary sensitive information about others.

PonderFi, its software, website, branding, designs and related intellectual property are owned by Metrosion Inc. or its licensors and are protected by intellectual-property law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your personal use in accordance with these Terms. You do not acquire ownership of our software, marks or content. Feedback may be used to improve the Service without an obligation to compensate you, subject to applicable law and your rights in personal information.

6. Acceptable use

You must not:

• Access accounts or information without permission, misrepresent your identity, or misuse share links.
• Disrupt the Service, introduce malicious code, evade access controls or rate limits, or attempt to compromise another user's security.
• Use the Service for unlawful activity, harassment, infringement, fraud or unauthorized commercial resale.
• Extract content at scale or reverse engineer the Service except where a non-waivable legal right permits it.

This does not prohibit lawful security research conducted with authorization. Contact support@ponderfi.com before testing that may affect the Service or other users.

7. Early access, changes and purchases

The Service may include early-access or experimental features. These may change, become unavailable or require updates. Keep independent copies of records you need for tax, legal or other important purposes.

No paid subscription is offered through this marketing website. If we offer paid features, pricing, renewal, cancellation and any applicable refund terms will be presented before purchase. Purchases through an app store may also be subject to that store's terms. Nothing here reduces any refund or cancellation right required by law.

We may change features and availability over time. Where a change materially affects a paid service or a legal entitlement, we will provide the notice, remedies or consent process required by law.

8. Suspension, closure and data requests

You can stop using the Service at any time. To request user-profile closure or deletion of personal information, contact support@ponderfi.com. Removing records in the app or uninstalling it does not necessarily erase underlying records, attachments or backups. See the Privacy Policy.

We may restrict, suspend or terminate access when reasonably needed to address a breach of these Terms, security risks, legal requirements or serious service abuse. Where practical and lawful, we will explain the reason and provide an opportunity to resolve the issue. Urgent action may be taken without advance notice.

If we discontinue the Service, we will give reasonable notice where practical and required by law. Any refunds, access to records or other remedies will follow applicable law and the terms of any paid offering. We do not guarantee uninterrupted availability or a particular export format.

9. Availability and warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available," without warranties that it will be uninterrupted, error-free, secure in all circumstances, or suitable for every purpose. To that extent, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Some jurisdictions do not allow certain exclusions. Nothing in these Terms excludes a warranty, condition, remedy or consumer right that cannot lawfully be excluded. You remain entitled to any mandatory protections applicable to you.

10. Limits of liability

To the extent permitted by applicable law, Metrosion and its personnel and service providers are not liable for indirect, incidental, special or consequential losses, lost profits, or loss of data arising from use of the Service. To that same extent, our total liability for claims arising out of or relating to the Service or these Terms is limited to the greater of US $100 or the amount you paid Metrosion for the Service in the 12 months preceding the event giving rise to the claim.

These limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded or limited. They apply only where permitted, and do not restrict mandatory consumer rights or remedies.

11. Governing law and disputes

Delaware law governs these Terms without regard to conflict-of-law rules, except that mandatory consumer protections of your place of residence continue to apply. Contact hello@ponderfi.com if a dispute arises so we can try to resolve it informally. Contacting us is not a condition that prevents you from exercising legal rights or meeting a filing deadline.

Subject to any mandatory right to bring a claim in your home jurisdiction, disputes may be brought in a court with competent jurisdiction in Delaware. These Terms do not impose mandatory arbitration or waive a right to participate in a class action.

12. Changes and general provisions

We may revise these Terms prospectively. We will update the date and give reasonable additional notice of material changes, or obtain agreement, where required. If you disagree with a change, stop using the affected Service. Changes do not retroactively remove accrued rights.

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may transfer them with the Service as part of a reorganization, acquisition or similar transaction, subject to applicable law and without reducing mandatory rights.

These Terms and any applicable feature or purchase terms form the agreement concerning use of the Service. Provisions intended by their nature to survive termination, including ownership, lawful retention, liability and disputes, survive to the extent applicable.
